Recapsmith Terms of Service
Last updated: [DATE]
These terms are an agreement between you and [LEGAL NAME OR BUSINESS NAME] ("Recapsmith", "we", "us") about your use of recapsmith.com and the Recapsmith service (the "Service"). By creating an account or using the Service, you agree to these terms. If you don't agree, don't use the Service.
1. What the Service does
Recapsmith turns long videos and podcast audio that you provide into shorter outputs: summary videos, clips with captions in several shapes for different platforms, audiogram videos, videos over stock background footage or AI-picked images, and narrated recaps read by a synthetic voice. Summaries, clip choices, images, and narration scripts are produced automatically, partly with AI models, and may be inaccurate, incomplete, or cut in ways you don't expect. Review every output before you publish it.
2. Who can use it
You must be at least 18 years old, or the age of majority where you live, to create an account or buy a plan. If you use the Service for a company or channel, you confirm you have authority to accept these terms on its behalf.
3. Your account
We sign you in with a one-time link sent to your email, so keep access to that inbox secure. You're responsible for activity under your account. Tell us at support@recapsmith.com if you think someone else has accessed it.
4. Your content and your rights to it
"Your Content" means any video, audio, image, text, or link you upload or submit, and "Outputs" means the clips, summaries, captions, and other files the Service makes from it.
4.1 You must have the rights. You may only submit content that you own, or that you have permission from the rights holder to edit and republish in the way you intend. By submitting content, you represent and warrant that:
- you own it or are licensed to use it this way, including any music, footage, artwork, or voices in it;
- processing it with the Service and using the Outputs won't infringe anyone's copyright, trademark, privacy, publicity, or other rights; and
- you have any consent needed from people who appear or are heard in it.
4.2 Links to hosted videos. The Service can accept a link to a video hosted on a third-party platform such as YouTube. This option is only for videos you own or are authorized to use, such as videos on your own channel. You must confirm this each time you submit a link. You are responsible for complying with that platform's terms. We may disable link submission at any time.
4.3 You keep ownership. You keep all rights you have in Your Content and the Outputs. We don't claim ownership of either.
4.4 License you give us. You give us a worldwide, non-exclusive, royalty-free license to store, copy, process, transcribe, analyze, and modify Your Content, and to create and deliver Outputs, only as needed to run the Service for you. This includes sending transcripts or excerpts to the service providers listed in our Privacy Policy. We will not publish Your Content or Outputs, or use them in our marketing, without your separate permission. This license ends when the content is deleted from our systems.
4.5 Stock media we add. Background footage, images, and music we add to an Output come from stock libraries (such as Pixabay and Unsplash) under their own licenses. You may publish them as part of the Output, but not extract them and use or sell them on their own. A background video you upload yourself is Your Content.
4.6 Prohibited content. Don't submit content that is illegal; infringes someone else's rights; sexualizes minors; is non-consensual intimate imagery; promotes violence or terrorism; harasses or doxxes a person; or contains malware.
5. Copyright complaints and repeat infringers
We respond to copyright notices under our DMCA Policy. We remove content when we receive a valid notice. We will terminate the accounts of users who repeatedly infringe, as described in that policy.
6. Acceptable use
Don't: break or probe the Service's security; overload it or get around usage limits; scrape it or access it by automated means except through features we provide; resell access without our written permission; or use it to break any law or platform rule.
7. Plans, billing, and cancellation
7.1 Billing. Paid plans are billed in advance through our payment processor, Stripe. We never see or store your full card number. Prices and plan limits are shown on our pricing page at the time you buy.
7.2 Renewal. Subscriptions renew automatically each billing period until you cancel. You can cancel at any time from your account, and you'll keep access until the end of the period you've paid for.
7.3 Refunds. If you're unhappy within 14 days of your first payment, email support@recapsmith.com and we'll refund that payment in full. After that, payments are non-refundable except where the law requires otherwise. Cancelling stops future renewals.
7.4 Usage limits. Each plan has limits, such as minutes processed per month and maximum file size or length. Unused allowance doesn't roll over unless your plan says it does.
7.5 Free plan. The free plan has a smaller monthly allowance, and its video Outputs carry a small Recapsmith watermark and are limited to 720p. We may change or end the free plan at any time.
7.6 Founding member price. If you sign up at a founding member price (for example, 50% off "for life"), that price lasts for as long as your subscription stays active on the same plan. If you cancel, or your subscription ends because payment fails, the founding price ends and can't be restored.
7.7 Price changes. We'll email you at least 14 days before a price change affects your next renewal.
8. Storage and deletion
We aren't a storage or backup service. Uploaded files and Outputs are deleted automatically 7 days after you last work on them (upload, edit, or render). Download anything you want to keep. Files you delete, or that expire, can't be recovered.
9. Ending your use
You can stop using the Service and delete your account at any time. We may suspend or end your access if you break these terms, if we're required to by law, or if we stop offering the Service. If we end the Service for reasons other than your breach, we'll refund any prepaid, unused portion of your subscription.
10. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We don't promise the Service will be uninterrupted or error-free, or that any summary will accurately represent the original.
11. Limitation of liability
TO THE EXTENT THE LAW ALLOWS: (a) WE WON'T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US $50.
12. Indemnity
You agree to cover our reasonable costs, including legal fees, arising from third-party claims that Your Content or your use of the Outputs infringed someone's rights or broke these terms.
13. Changes to these terms
We may update these terms. If a change is material, we'll email you or show a notice in the app at least 14 days before it takes effect. If you keep using the Service after that, you accept the new terms.
14. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, USA, excluding its conflict-of-law rules. Disputes will be heard in the state courts of Loudoun County, Virginia, or the federal courts for the Eastern District of Virginia, unless the law where you live gives you the right to sue locally.
